On this page, additional Terms and Conditions are shown which apply in the circumstances set out below in addition to Transpact.com's standard Service Terms (more than one of the sections shown on this page may apply to any one transaction):

• API, PartnerCreate webform and 3rd-Party Transaction use

Additional Terms & Conditions for API, PartnerCreate webform and 3rd-Party Transaction use (all not available to ordinary users)

If you choose to use Transpact.com's API, or Transpact.com's PartnerCreate webform, then you agree to the following Terms & Conditions:

1. Transpact.com's standard terms apply to all transactions, and you agree to those terms in addition to these terms.
2. If you use our API or the PartnerCreate webform on our test platform, you confirm that you will only use email addresses that you control. If you use email addresses on our test platform that you do not control, you will be banned from use of our website.
3. You confirm that you will only use our live service for payment proposals whose main purpose is to require Conditional Payment and/or Payment Splitting, and not for promotional or informational or other purposes.
4. We will collect your fees and commissions that you stipulate in the API, or on the 'Fee & Commission' section of the PartnerCreate webform, for you at no cost to you. We will pay these fees and commissions to you in bulk at a schedule to be notified to you (depending on the size and number of payments collected) at our discretion, but no less than once a month. Any payment to you will have any International and/or Large Payment Surcharge fees deducted from it, applicable to the size and destination of that bulk payment to you, if these fees would apply to a normal payment-out that we make.
5. Transpact.com is under no obligation to accept the payment transaction you enter via the API or PartnerCreate webform, and does so on a case-by-case basis at its sole discretion. Transpact.com may decline on a case-by-case basis to handle the transaction at any time before Transpact.com accepts the transaction. Acceptance of the transaction will occur only when the transaction reaches Live & Protected status on the Transpact.com website. Non-limiting examples of when Transpact.com may decline to handle a transaction are due to money laundering concerns, sanctions-evasions concerns, morality concerns or other reasons at Transpact.com's sole discretion.
6. We will update these terms from time to time. The terms that will apply will be the terms that are set when you call the API or fill-in the PartnerCreate webform, so please refer back to these Service Terms before you do so.

Additional Terms & Conditions for using Transpact.com's 'Payment-Out According to Schedule' facility

We may offer you the ability to make payment-out using our Scheduled Payment facility.
If you choose to use Transpact.com's Scheduled Payment facility, then you agree that you are doing so at your own considerable risk, and that you commit to using the service on the following terms:

1. For payments-out to be made according to a schedule that you supply, you will supply the name and bank details of the payee and a payment reference.
   Transpact.com will rely on these details and make payment of the amount you specify to these details. If these details are incorrect, then there is a possibility that the payment may be fully or partially lost, or Transpact.com will incur significant costs and expenses in having the payment returned or paid. You confirm that you have made diligent enquiries to ensure that the bank and payment details supplied in the schedule are fully correct.
2. You confirm that you will immediately and without any delay reimburse Transpact.com for all direct and indirect costs and expenses incurred due to incorrect details being supplied, and you confirm that if Transpact.com is held responsible for the loss of the payment itself you will immediately additionally reimburse Transpact.com in full the amount of the payment.
3. You instruct Transpact.com to withhold payment to the payee awaiting clarification, if Transpact.com has any doubts about the accuracy of the payment details provided. Transpact.com at its sole discretion may carry out additional checks on the validity of the payment details (despite your confirmation that the details are checked and correct). One non-limiting example of where this may occur is if a Confirmation of Payee or Verification of Payee check does not provide a full match when Transpact.com attempts to make the payment. If Transpact.com finds any indication of disparity, you authorise Transpact.com to await clarification of the correct payment details if it so decides, or to go ahead and make payment according to your previous instruction if it so decides, at Transpact.com's discretion.
4. You confirm that you do not rely on Transpact.com's checks, and you have already verified the payment details, and you agree and accept that Transpact.com is not required to perform any check on the accuracy of the payment data, and is entitled to fully rely on your certification of the accuracy of the payment data.
5. If payment is unable to be paid through the payment system, or payment is returned, then Transpact.com will hold the payment awaiting clarification from you and from the circumstances. At Transpact.com's sole discretion, Transpact.com will at an appropriate time (according to Transpact.com's reasonable discretion) either make payment on to the payee (with payment details corrected if necessary) or to you or back to the original payer. Any charges deducted from the payment or directly or indirectly incurred due to the payment will be deducted from the resultant payment paid. In addition, you agree to immediately pay the costs, charges, expenses and fees that Transpact.com has directly or indirectly incurred and will in the future incur due to the processing of the payment.
6. We will update these terms from time to time. The terms that will apply will be the terms that are set when you call the API or fill-in the PartnerCreate webform, so please refer back to these Service Terms before you do.

Additional Terms & Conditions when acting as Agent for the Money Recipient or Money Sender

We may offer you the ability to act as an agent for the Money Sender or Money Recipient (normally forbidden by our general Service Term 1.18). Additionally and separately, we may allow to set your own email address as the Money Recipient for a transaction, when you are acting as an agent for the Money Recipient. If you choose to create a transaction in any of these ways then you agree that you are doing so at your own considerable risk , and that you will use the service on the following terms

1. You cannot act as the agent for any party without our explicit written permission, and you agree to comply with this term.
2. If you are acting as an agent for the Money Sender or Money Recipient, you confirm that you have received and been fully and unambiguously authorised by the money Sender or Money Recipient (as appropriate) to act as their agent when transacting with Transpact.com in any way, and that such agreement is held by you in durable non-changeable form, and is irrevocable. You commit to provide Transpact.com immediately on request with a copy of this authorisation, and to securely store the authorisation for six years after the transaction has ended. Transpact.com will rely on your assurance that you are fully authorised to act as agent on behalf of the appropriate party to make or receive payment, and will make or receive payment on behalf of that party according to the instruction you provide.
3. If we offer you the facility, you may set an email address that you control as the Money Recipient. You confirm that you will only do so when you have been fully authorised by the Money Recipient to act as their agent to both receive payment from the Money Sender and make payment in accordance with the instructions you provide on behalf of the Money Recipient. You confirm before you create the transaction that you have received and been fully authorised by the Money Recipient to do so, and that such agreement is held by you in durable non-changeable form, and is irrevocable. You commit to provide Transpact.com immediately on request with a copy of the authorisation, and to securely store the authorisation for six years after the transaction has ended. Transpact.com will rely on your assurance that you are fully authorised to act as agent for the Money Recipient to receive payment from the Money Sender, and make payment on behalf of the Money Recipient according to the instruction you provide.
4. If you act in breach of the terms above, you confirm that you will immediately on request pay the full amount of the payment received by Transpact.com to Transpact.com. Transpact.com will use this amount to ensure that it has met all its obligations resulting from its involvement from the payment, and when Transpact.com is satisfied that it has done so it will return any remaining sum (if any remains) back to you. You further confirm that you will immediately reimburse Transpact.com for all costs and expenses resulting directly or indirectly from your breach, and allow Transpact.com at its discretion to deduct these amounts from any payment returned to you as above.
